Subscription terms and offer

What Guild includes, how the free trial and the Monthly and Yearly plans work, and how your subscription renews
This is a translation. In case of a discrepancy, the Russian version prevails
Seller and product
Sole proprietor Yaroslav Andreyevich Morozov, INN 732985644172, OGRNIP 320732500040475. Region of registration: Cherdaklinsky District, Ulyanovsk Region, Russian Federation. Email: guild@morozov.digital. Telephone: +7 (937) 274-79-65
Continental Guild is a management layer and unified interface for working with AI agents. The subscription provides a time-limited right to use Guild and access the features included in the plan. The software rightsholder is Continental LLC, INN 9721223401, OGRN 1237700914725. The seller of the individual subscription and recipient of payment is sole proprietor Yaroslav Andreyevich Morozov
These terms cover a single-user subscription. Corporate delivery, implementation and On-Prem are governed by separate agreements and are not included in this plan
Entering into the agreement
A subscription is started by the user on the website: they submit an email address and confirm it through the link in the message. Viewing a page, following a promotional link or contacting support does not constitute acceptance of a paid subscription
Before ordering, the user reviews the current version of the terms. The free trial starts when the email is confirmed together with separate agreement to these terms. A paid subscription requires a separate order and the first successful payment after reviewing the price, period and access included
Personal data consent, where required, is given separately. Auto-renewal and marketing also require separate expressions of consent; reading this offer does not replace those actions
What access includes
One subscription permits no more than one active installation on a computer — macOS, Windows or Linux — and one on a phone — iOS or Android. This is a limit on simultaneously active installations in each category, not two single-use codes for the entire subscription lifetime
The macOS and iOS apps are currently available, as well as beta versions for Windows and Android. A subscription does not make an unreleased app available for download
The web remote is available through a link and code created in Guild on the computer. It supports a conversation with a specific agent and responses to its requests within the permissions granted. Its capabilities differ from the iOS app; web remote access does not authorise sharing a personal account with other users
When changing a computer or phone, the previous installation is deactivated and replaced by the new one. If the old device is unavailable, support can assist with the transfer. A transfer does not reset the paid period
The first 7 days are free
A new user can start a trial once, for 7 consecutive days. It begins when trial access is provided — that is, when the email is confirmed — not when the user visits the site or sends an email. The account portal shows the start date and exact expiry time
No card is required for the trial. There is no automatic charge when it ends: the user must separately purchase a paid subscription to continue. Otherwise, trial access ends without creating a debt
Trial access includes released versions and the same installation limits as the subscription. Paid AI providers and integrations remain the user's separate responsibility during the free trial
Plans and trial
Before their first payment, a customer may use Guild free of charge for seven days. No bank card is required for the trial, and a paid subscription does not start automatically. The available plans are Monthly at ₽10,000 for one paid month and Yearly at ₽96,000 for 12 paid months. The yearly plan is paid upfront in one charge. The 20% saving compares the yearly plan with 12 separate monthly payments of ₽10,000 each, totalling ₽120,000. It does not mean the yearly plan was previously priced at ₽120,000
Prices are in Russian roubles and are final for the buyer. The seller uses the simplified taxation system, Income at 6%; VAT is not charged. No separate surcharge for choosing a payment method is added to the advertised price
Payment, access term and plan changes
Payments are processed through YooKassa and fiscal receipts are sent to the email supplied at checkout. Access is provided automatically following successful payment and appears in the account portal. Payment does not depend on whether the user has opened the app for the first time
Paid access begins when payment is confirmed and Guild access is provided. A delay in providing access attributable to the Seller does not shorten the paid term. A monthly term ends on the corresponding day and time of the following month in Moscow time; if that date does not exist, the last day of that month applies. Later renewals retain the original day of the month. A yearly term lasts 12 calendar months. The end date and next charge date are shown before payment and in the customer's account. A change of plan during an active auto-renewing subscription takes effect on the next renewal. If a customer buys a yearly term while a paid monthly term is active, the 12 months are added after the end of the existing paid term; the remaining days of the monthly term are not prorated. For example, monthly dates run: 31 January → the last day of February → 31 March
If you have been charged but access has not appeared, contact support. We will check the payment, provide access or refund the amount if you decline access that was not provided. A delay caused by Guild does not reduce the paid term
Renewal and cancellation
Auto-renewal is enabled only after the customer gives separate, unticked consent. Before consent, the selected plan, charge frequency, amount of later charges and cancellation method are shown. Later monthly charges are ₽10,000 for each month; later yearly charges are ₽96,000 for each 12-month term. A first-payment discount does not apply to later charges. The customer may turn off auto-renewal in their account before the next charge and retains access until the end of the paid term. Before the first charge under a changed plan, the new amount and frequency must be shown and separately accepted
Without consent, no recurring charges are made
Turning off auto-renewal stops future charges. Access already paid for continues until the period ends. You can turn off renewal in the Subscription section of your account or email guild@morozov.digital. The prohibition on further charges takes effect when the withdrawal is received
If the next payment fails, access ends at the end of the period already paid for. No new paid period or debt is created without successful payment. When resuming after a break, a new term starts when paid access is provided again
Turning off auto-renewal does not in itself request a refund for access that continues. However, the user may separately request early termination of the agreement. For consumer services, the refund is calculated under Article 32 of the Russian Consumer Protection Law, taking into account documented actual expenses related to performing the specific agreement. Statutory consumer rights apply to defects, failure to provide access and other cases prescribed by law. These terms do not restrict those rights
Cancellation and earlier terms
A customer may withdraw from the service agreement in accordance with Article 32 of the Russian Consumer Protection Law. A refund is calculated taking into account the Seller's actual, documented expenses in performing the agreement; the same rule applies to yearly plans. An erroneous charge is refunded in full. The deadline and payment method for refunds are set out in the current 'Payments, cancellation and refunds' section. Terms in effect when an earlier paid subscription was purchased remain applicable to that customer
Software use terms
During trial or paid access, the user receives a simple, non-exclusive right to install, run and use released Guild versions for their intended purpose within the device limits. Exclusive rights are not transferred. Use is permitted in countries where applicable law and the terms of connected services allow it
Personal and professional tasks are permitted. Account sharing, resale of access, bypassing activation limits and claiming the software as your own are outside the rights granted. These restrictions do not override actions expressly permitted by law
The user connects their own AI provider and external service accounts and follows their terms. A Guild subscription does not include Claude, Codex, model APIs, generation tokens, paid integrations, cloud capacity or their usage allowances
The computer must remain on and have the required connections to perform tasks. AI agent responses can contain errors and must be reviewed before use. Guild does not promise a particular income or error-free model output; this does not release the seller from responsibility for its own obligations or the quality of the product provided
Enquiries and changes to terms
Questions about payment, access, cancellation and refunds can be sent to guild@morozov.digital or raised by telephone at +7 (937) 274-79-65. The procedure is detailed in Payments, cancellation and refunds
New versions are published with a date. They do not shorten a paid period, change the terms of a subscription already paid for or restrict mandatory consumer rights. Changes that require consent are accepted separately; silence does not authorise new charges
Disputes are governed by the law of the Russian Federation, preserving statutory consumer rights, including the choice of court. Contacting support is not a mandatory condition for seeking judicial protection
